| TERMS AND CONDITIONS LOFTCAT WHOLESALE ORDERING All orders for Goods shall be deemed to be an offer by the Buyer to purchase Goods pursuant to these Terms and Conditions and are subject to acceptance by the Seller. The Seller may choose not to accept an order for any reason. Where the Goods ordered by the Buyer are not available from stock the Buyer shall be notified and given the option to either wait until those Goods are available from stock or cancel the order for those Goods not available from stock and receive a full refund of any monies paid for items not available from stock, within 30 days. PRODUCT Quality – we work hard to guarantee the quality of our goods, however some natural differences will occur due to the handmade and natural nature of the product. All sizes are approximate, as all our products are hand made. PRICE AND PAYMENT The Price of the Goods shall be that stipulated by the Seller. The Price is exclusive of VAT. When the order value is £500 or higher ex VAT, the prices include delivery of goods. Orders below this value can be picked up by the Buyer at the Loftcat warehouse. Payment of the Price plus VAT must be made in full prior to dispatch of the Goods to the Buyer's address. If paying by cheque, this needs to have cleared in the Seller’s bank prior to delivery, no later than one day prior to delivery. If paying by credit card, this must be paid no later than one day before agreed delivery date. DELIVERY Goods supplied within the UK will normally be delivered within 14 working days of receipt of order, when an item is held in stock at the time of order. Where a specific delivery date has been agreed, and where this delivery date cannot be met, the Buyer will be notified and given the opportunity to agree a new delivery date. The Seller shall use its reasonable endeavours to meet any date agreed for delivery. In any event time of delivery shall not be of the essence and the Seller shall not be liable for any losses, costs, damages or expenses incurred by the Buyer or any third party arising directly or indirectly out of any failure to meet any estimated delivery date. Delivery of the Goods shall be made to the Buyer’s address specified in the order and the Buyer shall make all arrangements necessary to take delivery of the Goods whenever they are tendered for delivery. Title & Risk to the Goods shall pass to the Buyer upon delivery of the Goods. RETURNS POLICY The Buyer shall inspect the Goods immediately upon receipt and shall notify the Seller emailing sales@loftcat.com within 3 working days of delivery if the Goods are damaged or do not comply with that part of the order. If the Buyer fails to do so the Buyer shall be deemed to have accepted the Goods. The seller may ask for photographic proof of any damage or non compliance with the order. Goods should not be returned without prior authorisation. All agreed returns must be co-ordinated through the sales office. Where a claim of defect or damage is made and agreed by the Seller, those Goods shall be returned by the Buyer to the Seller. The Buyer shall be entitled to a full refund (including delivery costs) plus any return postal charges if those Goods are in fact found to be defective. Goods returned must clearly show the invoice number obtained from the Seller on the parcel. Where returned Goods are found to be damaged due to the Buyer’s fault the Buyer will be liable for the cost of remedying such damage. All balances under £25 will be cancelled unless otherwise agreed. If you wish to cancel a balance you must agree this in writing with retreat. However if your notification is received after the goods have been packed/dispatched from the origin a 24% restocking charge will be levied. If the goods have been made to order and the cancellation is received after production of the order has started. All charges incurred in the process to date will be levied to the buyer. We reserve the right to carry balances from season to season. Please note that we are unable to accept cancellation of, or returns for, custom-made items, except where the goods are faulty or damaged when they are delivered to you. RIGHTS OF SELLER The Seller reserves the right to adjust the price and specification of any item at its discretion. The Seller reserves the right to withdraw any goods from sale at any time. The Seller shall not accept any liability whatsoever or howsoever caused for withdrawing any Goods from sale or for refusing to process an order. CHANGES TO TERMS AND CONDITIONS The Seller shall be entitled to alter these Terms and Conditions at any time. but this right shall not affect the existing Terms and Conditions accepted by the Buyer upon making a purchase. FORCE MAJEURE The Seller shall not be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control, including but not limited to acts of God, strikes, lock outs, accidents, war, fire, breakdown of plant or machinery or shortage or unavailability of raw materials from a natural source of supply, and the Seller shall be entitled to a reasonable extension of its obligations.
